Legal Agreement

This Legal Agreement ("Agreement") is entered into by and between Cloudoio Hosting, LLC ("Cloudoio Hosting", "we", "our", or "us") and the customer ("Customer" or "you"). This Agreement outlines the terms and conditions governing your use of Cloudoio Hosting's services ("Services"). By using our Services, you agree to be bound by this Agreement.

1. Scope of Services

• Cloudoio Hosting agrees to provide the Services as specified in the order form or any other applicable documents. The Services are subject to the terms and conditions of this Agreement.
• We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including the availability of any feature, database, or content.

2. Customer Responsibilities

• You agree to provide accurate and complete information as required for the provision of the Services.
• You are responsible for maintaining the security of your account and all activities that occur under your account.
• You agree not to use the Services for any illegal activities or in a manner that infringes on the rights of others.

3. Payment Terms

• You agree to pay all fees associated with the Services as outlined in the order form or invoice.
• Payments are due upon receipt of the invoice unless otherwise specified.
• We reserve the right to suspend or terminate the Services if payment is not received by the due date.

4. Termination

• This Agreement begins on the date of your acceptance and continues until terminated by either party.
• You may terminate this Agreement at any time by providing written notice to Cloudoio Hosting.
• We may terminate this Agreement immediately if you breach any term of this Agreement.

5. Intellectual Property

• Cloudoio Hosting retains all rights, title, and interest in and to its trademarks, service marks, and other intellectual property.
• You agree not to use any of Cloudoio Hosting’s trademarks or service marks without prior written consent.

6. Limitation of Liability

• Cloudoio Hosting shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits, business interruption, or loss of data.
• Our total liability for any claim arising out of or in connection with this Agreement shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.

7. Indemnification

• You agree to indemnify and hold harmless Cloudoio Hosting, its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Services.

8. Confidentiality

• Both parties agree to maintain the confidentiality of any confidential information disclosed by the other party and to use such information only for the purposes of this Agreement.
• This obligation of confidentiality shall survive the termination of this Agreement.

9. Governing Law

• This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles.
• Any legal actions or proceedings arising out of or relating to this Agreement shall be brought exclusively in the courts located in [City], [State].

10. Miscellaneous

• This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral.
• If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• The failure of either party to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.
• You may not assign or transfer your rights or obligations under this Agreement without the prior written consent of Cloudoio Hosting.
• Cloudoio Hosting may assign or transfer its rights and obligations under this Agreement without your consent.
